These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("User", "you", or "your"), and Abyssinia Homes LLC, operating as Faven AI ("Faven AI", "we", "us", or "our"), concerning your access to and use of the Faven AI website, platform, application, and any related services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. BY CREATING AN ACCOUNT, ACCESSING, OR USING OUR SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, DO NOT ACCESS OR USE OUR SERVICES.

NOTICE OF ARBITRATION AND CLASS ACTION WAIVER: THIS AGREEMENT CONTAINS A BINDING ARBITRATION CLAUSE AND A CLASS ACTION WAIVER THAT AFFECT YOUR RIGHTS. PLEASE REVIEW SECTION 14 CAREFULLY.

1. ACCEPTANCE AND ELIGIBILITY

1.1. Eligibility. You must be at least 18 years of age, or the age of legal majority in your jurisdiction, to use the Services. By using the Services, you represent and warrant that you meet all eligibility requirements. 1.2. Authority. If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2. THE SERVICES AND ARTIFICIAL INTELLIGENCE

2.1. Description of Services. Faven AI provides an autonomous visual engine and proprietary artificial intelligence platform that allows users to upload source imagery ("Input Data") and generate digitally altered, enhanced, or newly synthesized visual and audio-visual content, including but not limited to photo-to-video renderings and virtual furnishings (collectively, "Output Content"). 2.2. Experimental Nature of AI. You acknowledge that artificial intelligence and machine learning are rapidly evolving and experimental fields. Faven AI's generative engines may occasionally produce Output Content that is inaccurate, unpredictable, or undesirable. We do not guarantee the accuracy, reliability, or fitness for any particular purpose of the Output Content. 2.3. No Exclusivity of Output. Due to the nature of generative artificial intelligence, Output Content may not be unique across users. The Services may generate the same or similar output for Faven AI or a third party. Faven AI bears no liability for similarities between Output Content generated by different users.

3. ACCOUNTS AND REGISTRATION

3.1. Account Creation. To access certain features, you must register for an account. You agree to provide accurate, current, and complete information and to maintain the security of your account credentials. 3.2. Account Responsibility. You are entirely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach. Faven AI will not be liable for any losses caused by any unauthorized use of your account.

4. INTELLECTUAL PROPERTY RIGHTS

4.1. Faven AI's Intellectual Property. The Services, including their underlying technology, generative engines, algorithms, software, interfaces, designs, and all intellectual property rights therein, are the exclusive property of Abyssinia Homes LLC. Nothing in these Terms transfers any rights in the Services or Faven AI's technology to you. 4.2. Input Data. You retain all ownership rights in and to your Input Data. By submitting Input Data to the Services, you grant Faven AI and its affiliates a worldwide, non-exclusive, royalty-free, fully paid, transferable, sublicensable license to use, reproduce, modify, distribute, and display your Input Data strictly for the purposes of providing the Services to you, maintaining the platform, and (unless expressly opted out where applicable) improving Faven AI's underlying models and algorithms. 4.3. Output Content. Subject to your compliance with these Terms, including timely payment of all applicable fees, Faven AI hereby assigns to you all of its right, title, and interest (if any) in and to the Output Content generated exclusively from your Input Data. You are solely responsible for ensuring that your use of the Output Content does not infringe upon the rights of any third party. 4.4. Feedback. Any feedback, comments, or suggestions you provide regarding the Services is entirely voluntary, and Faven AI shall be free to use such feedback without any obligation to you.

5. USER CONDUCT AND RESTRICTIONS

You agree not to use the Services to: a) Upload any Input Data for which you do not possess the necessary rights, licenses, or permissions. b) Generate Output Content that is illegal, defamatory, harassing, abusive, fraudulent, or invasive of another's privacy. c) Generate non-consensual deepfakes, sexually explicit content, or content depicting real individuals without their explicit written consent. d) Infringe upon any patent, trademark, trade secret, copyright, or other intellectual property right. e) Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of the Services. f) Use the Services to develop a competing product or service or to train other artificial intelligence models. g) Bypass, disable, or interfere with security-related features of the Services.

Faven AI reserves the right, at its sole discretion, to monitor, review, or remove any Input Data or Output Content and to suspend or terminate accounts that violate these restrictions without prior notice.

6. FEES AND PAYMENT

6.1. Billing. Certain aspects of the Services are provided for a fee, either as a subscription or a pay-per-use/credit model. All payments are processed through our third-party payment processor (e.g., Stripe). 6.2. Non-Refundable. All purchases, including subscription fees and credit purchases, are final and non-refundable, except as required by law. Unused credits may expire according to the specific terms presented at the time of purchase. 6.3. Taxes. You are responsible for all applicable taxes associated with your use of the Services.

7. THIRD-PARTY SERVICES

The Services may integrate with or rely on third-party platforms, APIs, and hosting providers. Faven AI makes no representations or warranties regarding third-party services and shall not be liable for any interruptions, data breaches, or failures originating from such third parties.

8. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FAVEN AI AND ABYSSINIA HOMES LLC EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

9. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FAVEN AI, ABYSSINIA HOMES LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, FAVEN AI'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO FAVEN AI FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Faven AI, Abyssinia Homes LLC, and its respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your Input Data and any third-party claims alleging that your Input Data or Output Content infringes their intellectual property or privacy rights; or (c) your use of the Services.

11. TERM AND TERMINATION

11.1. Termination by You. You may terminate your account at any time by ceasing to use the Services and utilizing the account deletion tools provided within the platform. 11.2. Termination by Us. We reserve the right to suspend or terminate your access to the Services at any time, for any reason, with or without notice, including for breach of these Terms. 11.3. Survival. Sections 4, 8, 9, 10, 12, 13, and 14 shall survive any termination or expiration of these Terms.

12. GOVERNING LAW

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles.

13. DISPUTE RESOLUTION AND BINDING ARBITRATION

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. 13.1. Arbitration Agreement. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be determined by binding arbitration in Maryland, rather than in court. 13.2. Class Action Waiver. You and Faven AI agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding. The arbitrator may not consolidate another person's claims with your claims.

14. MISCELLANEOUS

14.1. Entire Agreement. These Terms, along with our Privacy Policy and Cookies Policy, constitute the entire agreement between you and Faven AI regarding the Services. 14.2. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. 14.3. Modifications. Faven AI reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last Updated" date or through the platform. Continued use of the Services following modifications constitutes acceptance of the updated Terms.
